Official Contest Rules!

Atlanta Medical Institute, LLC, its subsidiaries and affiliated companies (together, the "Company"), will conduct its contest substantially as described in these official contesting rules, and by participating, each participant agrees as follows:

1. Prize(s). There will be three grand prize winners who will receive a seven-day / six-night stay at The Resort at Singer Island, Florida. The room provided is a one-bedroom suite with a kitchen and living room. In addition, round-trip airfare for two will be provided from Atlanta, Georgia to West Palm Beach, Florida. Resort parking of $20 per night is included in this package if contestant arrives at the resort with their own vehicle. Tips, food, and entertainment are not included and are the responsibility of winners.

In addition to the three grand prize winners, three runner-up contestants will be awarded a gift certificate. There will be one runner-up contestant from each of the three weight loss categories that will receive a $200 gift certificate from Atlanta Medical Institute, LLC. Upon entry, the category that you are competing in will be provided to you. You will be in Category 1, 2, or 3, depending upon the category details stated below.

2. Gift certificate(s). Gift certificates for merchandise or services are redeemable only at Atlanta Medical Institute, LLC. Gift certificates are not refundable, cannot be used to purchase other certificates and have no cash value. Gift certificates cannot be applied to previous purchases.

3. Eligibility and Limitations. Participants and winner(s) must be residents of Georgia and must be 18 years of age or older as of April 1, 2009. Employees, officers or directors of Atlanta Medical Institute, LLC and/or their respective affiliates, subsidiaries, parent and related companies, agencies, and individuals living in the same household (whether or not related) or immediate families (spouses, parents, children and siblings, regardless of where they live) of such employees, officers and directors are not eligible. All taxes, if any, are the sole responsibility of the winner. Only one (1) entry per person is allowed.

THIS CONTEST IS ONLY AVAILABLE TO PATIENTS OF ATLANTA MEDICAL INSTITUTE, LLC'S MEDICAL WEIGHT LOSS PROGRAM. THIS PROGRAM IS FEE BASED. ALL PATIENTS MUST COMPLETE A PHYSICAL EXAMINATION, HAVE BLOOD TAKEN FOR LAB TESTING, AND RECEIVE MEDICATION FOR WEIGHT LOSS BY A PHYSICIAN OF ATLANTA MEDICAL INSTITUTE, LLC. THE PRICE OF THE PROGRAM VARIES BASED UPON INDIVIDUAL WEIGHT LOSS GOALS AND SPECIFIC MEDICATIONS USED TO OBTAIN THESE RESULTS. CONTESTANTS MUST BE ENROLLED IN THE PROGRAM FOR A MINIMUM OF THIRTEEN WEEKS TO BE ELIGIBLE FOR THE GRAND PRIZE. APPLICATION MUST BE MADE IN PERSON AT THE TIME OF ENROLLMENT IN THE COMPANY'S MEDICAL WEIGHT LOSS PROGRAM. PARTICIPATION IN THE CONTEST IS OPTIONAL FOR ALL CLIENTS OF ATLANTA MEDICAL INSTITUTE, LLC. THIS CONTEST IS GOVERNED BY THE LAWS OF THE STATE OF GEORGIA. VOID WHERE PROHIBITED.

The prize(s) that may be awarded to the eligible winner(s) are not transferable, redeemable for cash or exchangeable for any other prize. All prizes must be redeemed from the Company within 30 days of the contest end date. Certain prizes are date specific, (i.e., trips, airfare) and the winner or winners should be aware that certain blackout dates will apply. If a winner cannot be contacted or is disqualified for any reason, the Company reserves the right to determine an alternate winner or not to award that winner's prize, in its sole discretion.

4. TV and Radio Advertising. The Company may from time to time conduct contests concurrently and simultaneously on several participating radio and television stations, and the Company may add or remove participating stations or change call letters of any participating station at any time during a contest as announced on the affected station. For a list of participating stations for each individual contest, please visit the offices of this company during normal business hours.

5. Publicity; Use of Personal Information. By participating, where allowed by law, all participants and winner(s) grant the Company and its agents exclusive permission to record, copy, publish, use, edit, exhibit, distribute, perform, merchandise, market, license, sublicense, adapt and/or modify your entry in any way, in any and all media, without limitation and without any compensation. In addition, by participating, you also grant the Company the right to use your names, characters, photographs, voices, likenesses, and any other information provided in the entry in connection with promotion of this and other contests and waive any claims to royalty, right, or remuneration for such use. By participating in the Contest, where allowed by law, participants agree that the Company may disclose personal information obtained from participants in the Contest to third parties and use such information for marketing, promotional and other purposes except where prohibited by law. Information collected for this Contest is subject to Atlanta Medical Institute, LLC's privacy policies. You agree to abide by these official rules and the judges' decisions, which are final in all respects and will not be divulged.

6. Release and liability waiver. By participating in the Contest, each participant and winner waives any and all claims of liability against the Company, its employees, directors, and agents, the Contest's sponsors and their respective employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the Contest, or from the use of any prize, loss, or damage arising out of participation in this promotion or with respect to awarding, receipt, possession, use and/or misuse of any prize. In order to receive a prize, participants must sign an official waiver form provided by the Company.

7. Non-compete. All Registrants will be required to sign a non-compete agreement with Atlanta Medical Institute, LLC stating the Finalist will not endorse, own, manage, operate, control, be employed by, perform services for, consult with, solicit business for, participate in, or be connected with the ownership, management, operation, or control of any business, entity or person that performs services materially similar to or competitive with those provided by Atlanta Medical Institute, LLC for a period of eighteen (18) months from the date of final judging.

8. Taxes. Any valuation of the prize(s) stated above is based on available information provided to the Company, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes related to the prize(s) and paying any expenses associated with any prize which is not specifically provided for in the official rules. Each winner must provide the Company with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $600 in prizes from the Company will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.

9. Conduct and Decisions. By participating in the Contest, participants agree to be bound by the decisions of Company personnel. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Company will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and the Company's decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Company, the Company reserves the right to terminate this Contest, or make such other decisions regarding the outcome as the Company deems appropriate. All decisions will be made by the Company and are final. The Company may waive any of these rules in its sole discretion.

10. Compliance with Law. The conduct of the Contest is governed by the applicable laws of the United States of America, which take precedence over any rule to the contrary herein. Company(s) shall follow the applicable laws for conducting contests, including furnishing lists of winners, running specific disclaimers, providing specific written information about the Contest, etc., as required by local and state law. All issues and questions regarding the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of entrants in connection with the Contest shall be governed by, and construed in accordance with, the laws of the State of Georgia. If this type of contest is prohibited by state or local law in your place of residence, do not enter the Contest.

By entering this Contest, Registrants acknowledge that Atlanta Medical Institute, LLC reserves the right to interpret these rules and to change, modify, and/or amend these rules at Atlanta Medical Institute, LLC 's sole discretion. Atlanta Medical Institute, LLC may change, modify, and/or amend these rules without notice to Registrants. Changes, modifications and/or amendments to the Official Rules will be posted at http://www.atlantamedicaIinstitute.com.

11. Claims. All claims or disputes relating to the Contest shall be resolved in Fulton County, Georgia, by mediation. If any paragraph is found to be unenforceable, that paragraph will not invalidate the remainder of this agreement.

12. Entry Deadline/Receipt. All contestant entries must be received in person by 6 PM EST on September 1, 2009. Only patients enrolled in Atlanta Medical Institute, LLC's medical weight loss program prior to September 1, 2009 by 6 PM EST will be entered. A receipt of entry will be provided at the time of program enrollment. This receipt will list the date of entry, Physician's Proof of Participant's Beginning Weight, weight class entered into, and final weigh-in date.

13. Selection. Decisions of the Atlanta Medical Institute, LLC's judges are final and may not be appealed. Winners will be selected by December 15, 2009 and notified via postal mail or e-mail. If a winner does not respond to claim the prize within 30 days, the prize will be forfeited. Prizes will be delivered as determined by Atlanta Medical Institute, LLC at their discretion. To receive a list of winners, send a self-addressed, stamped envelope to above entry address by January 15, 2010 or see our web site www.atlantamedicalinsitute.com after January 15^th, 2010.

14. Opt in permission. When entering, participants can opt in to newsletters and special offers from Atlanta Medical Institute, LLC. Participant names will be activated within thirty days of submission. Participants are not required to opt in and participants may opt out from Atlanta Medical Institute, LLC's newsletters and special offers at any time once they are activated.

15. Odds of winning. Void where prohibited. Odds of winning depend upon the number of participants. Each winner must submit proof of eligibility and sign the Company's release form to claim the prize. The Company may substitute prizes, amend the rules or discontinue the Contest at any time as announced on the web site(s). The Company disclaims any responsibility to notify participants of any aspect related to the conduct of the Contest. For a copy of the rules, or where required by law, a list of winners, visit the business office of the Company during normal business hours or visit the Company's website. All entries become the property of the Company and will not be returned.

16. Entry. In order to participate in the Contest, you must a patient of the Atlanta Medical Institute, LLC's medical weight loss program. This Contest begins on April 1, 2009 at 12:01 AM Eastern Time ("Contest") and ends on Saturday, December 5th, 2009 at 6 PM, Eastern Time ("Contest End"). The last date of official registration must be made on or before Saturday, September 5th, 2009 at 6:00 PM Eastern Time in order to complete the required minimum thirteen consecutive weeks of program membership that is required. Registration is only open to Registrants who are losing weight during the contest period. Registrants who have lost weight prior to the start of the Contest may enter, however, the Registrant's weight will only be accepted, recorded or based on the Physician's Proof of Participant's Beginning Weight.

17. Physician's Proof of Participant's Weight. You must submit to a Physician's Proof of Participant's Beginning Weight from Atlanta Medical Institute, LLC at the time of registration prior to September 5th, 2009 at 6 PM, Eastern Time to be eligible for the Grand Prize. Participants that register after September 5th, 2009 at 6 PM are still eligible to participate and win the runner up prize for their weight loss category.

At the end of the contest, in order to determine the winner, Registrants must submit to a Physician's Proof of Participant's Ending Weight at the Company no later than Saturday December 5th, 2009, at 6 PM EST in order to be considered for any and all prizes. In the event of a tie, the winner will be determined based on the highest score for "Overall transformation" by the judges.

18. Conditions of Entry. You must enroll in the Atlanta Medical Institute, LLC's medical weight loss program a minimum of thirteen weeks in order to participate in the Contest. You are required to follow the weekly weigh-ins as described. Participants must lose weight by prescription medications prescribed only by Atlanta Medical Institute, LLC, and by lifestyle changes, diet, exercise, or other weight loss methods recommended by your physician at Atlanta Medical Institute, LLC. Participants can use only weight loss systems prescribed by Atlanta Medical Institute, LLC. No Entrants are to have had surgical weight loss procedures including, but not limited to, liposuction or gastric bypass during the weight loss program. No use of anabolic steroids, human growth hormones, or prescription thyroid medications that are not prescribed by an Atlanta Medical Institute, LLC for a known medical condition are to be used during your participation in the Contest.

19. Background check. At Atlanta Medical Institute, LLC's discretion, a background check may be conducted on all Registrants. Any refusal by the Registrant to submit to a background check will be cause for disqualification of the Registrant resulting in forfeiture of the Grand Prize.

The WINNER must sign and return a notarized Affidavit and Liability/Publicity Release within Three (3) days of first attempted notification. Noncompliance may result in disqualification and an alternate Entrant may be selected.

All Registrants are aware that the date that they enter the Contest is of their own choosing.

20. Calculating the winner. Upon entry, you will be divided into one of three weight loss classes determined by the staff of Atlanta Medical Institute, LLC. You will be assigned into weight loss class 1,2, or 3 depending on the amount of weight loss needed to achieve your weight loss goals, total weight, and Body Mass Index. Only one contest per weight class will win the Grand Prize and one contestant per weight class will win the runner up prize(s). In total, three Grand Prize trips will be awarded and three runner-up prize(s) will be awarded.

The contest will be based upon a point system with three ways to earn points for each category. Points will be earned for the following:

A. Total weight lost in any thirteen consecutive weeks. 1 point per pound lost rounded to the closest point with any .5 of a pound rounded up to the next pound. (An example of 87.4 pounds lost will equal 87 pounds lost and 87 points awarded. 87.5 pounds lost will equal 88 pounds lost and 88 points awarded in the contest.) For contestants entering at least one week before the cut off date of September 5th, 2009, you will be eligible to pick your best thirteen consecutive week total weight loss to be used towards this point category. In essence, the earlier you join the contest, the more chances you will have to choose from your best thirteen consecutive week weight loss results. A consecutive week is defined as 7 days from your official beginning weigh-in or 7 days from your last official weigh in. Contestants that are not weighed in on a weekly basis without prior approval from Atlanta Medical Institute, LLC will be disqualified.

B. Total percentage of weight lost divided by the Physician's Proof of Participant's Beginning Weight times 10. One example is a contestant with a beginning weigh-in weight of 260 pounds. In their best thirteen consecutive weeks, they loose 40.5 pounds. (Remember, any .5 of a pound will round up to the next pound.) You will then divide the amount of weight lost in your best consecutive thirteen weeks by your beginning weigh-in weight and multiply the result by ten. That means someone who lost 40.4 pounds will be rounded down to 40 pounds, and then divided by their initial weigh in (in this case 260) = .153 x 10 = 15.3 or 15 points.

C. Overall Transformation. A panel of 5 independent judges to be picked by Atlanta Medical Institute, LLC will award up to an additional 20 points based on their discretion. This category will include best overall transformation, muscle gain, and appearance. The judges pick will take place on Saturday, December 15th, 2009 at 6:01 PM, Eastern Time at Atlanta Medical Institute, LLC. Final weigh-ins must be completed prior to December 6^th 2009 at 6:00 PM to qualify. All three point categories will be added up to determine a winner in each category.

All contestants must follow all rules and regulations related to proper diet and nutrition. A minimum of a 500 calorie diet must be maintained for safe weight loss. A log of your dietary intake must be recorded by each participant. Anyone, in our opinion, that appears to be loosing weight in any unhealthy manner or deviating from Atlanta Medical Institute LLC's individually tailored diet and nutrition plan will be disqualified.

21. Miscellaneous. Atlanta Medical Institute, LLC reserves the right to disqualify any Registrant or Winner if any Registrant or Winner fails to execute any required paperwork, refuses to submit to a background check, or engages in any activity which offends the public morals, embarrasses Atlanta Medical Institute, LLC or violates the law of any jurisdiction and/or alters his/her appearance in any way whatsoever without the prior consent of Atlanta Medical Institute, LLC.

Any attempt by a Registrant or agent acting on behalf or behest of an Registrant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Atlanta Medical Institute, LLC reserves the right to seek damages from any such Entrant or agent acting on behalf or behest of an Entrant to the fullest extent of the law.

Atlanta Medical Institute, LLC is not responsible for lost, late, incomplete, misdirected or illegible Entries nor for errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Atlanta Medical Institute, LLC or presenter on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof, unless Atlanta Medical Institute, LLC has caused this event with gross negligence or intent. If for any reason this Contest is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Atlanta Medical Institute, LLC which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Atlanta Medical Institute, LLC reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest.
